PublicationsBusiness Law Section NewsletterThe purpose of the newsletter is to deliver reports to Section members regarding activities and publications of the Section, and to provide short, practical articles that are helpful to Section members in their practice. It is published at least twice yearly. The Section welcomes the submission of proposed articles for newsletter publication. Articles should range in length from 1,000 to 2,000 words and should be submitted both in hard copy and on disk via email to Charles Ha, Newsletter Editor, at Charles.Ha@hellererhman.com. Current DevelopmentsOnce per year, the Business Law Section publishes and mails to all Section members a Summary of Current Developments. The purpose of this publication is to highlight certain statutory, judicial and regulatory developments that may be of interest to Section members. How to Form and Maintain a Nonprofit Corporation in Washington StateThis "how-to" book, sponsored by the Young Lawyers Division of the King County Bar Association and drafted by diverse authors, provides perspectives on the decision to form a new nonprofit corporation. It guides the reader through the planning stages, setting up the corporate structure and applying for tax-exempt status with the IRS. The book also covers topics central to maintaining the nonprofit organization and its tax-exempt status, including corporate record keeping, reporting obligations, fundraising, employment issues, financial issues, and the duties and obligations of officers. This is an excellent guide for anyone — lay or professional — who is considering forming a new nonprofit organization. Exhibits in the book offer sample articles of incorporation and bylaws, a valuable checklist for forming a nonprofit corporation, a list of IRS form letters with interpretation, and profiles of typical exempt organizations. This publication is made available on the Section's website by permission of the King County Bar Association Young Lawyers Division as a service to the bar and the public. In late 1998, the Business Law Section published and mailed to all Section members a hard copy of the Report on Third-Party Legal Opinion Practice in the State of Washington. In October 2000, a Supplemental Report covering secured lending transactions was published. The purpose of this report is to provide a practical guide for Washington business lawyers engaged in rendering third-party legal opinions. The report is build around an illustrative opinion which contains many of the specific opinions frequently requested in business transactions, along with commentary from the Committee. Jonathan A. Eddy chaired the Section's Ad Hoc Committee on Third-Party Legal Opinion Practice at the time the original Report was published, and William G. Pusch Chaired the Committee at the time of the 2000 Supplement. This Committee's current Chair is Scott MacCormack.
Conflicts of Interest in Business Transactions: Guidelines for the Business LawyerThe purpose of this deskbook is to help business lawyers recognize, measure and manage risks they encounter when performing work involving actual or potential conflicts of interest. Originally published in 1990 under the auspices of the Corporation, Business and Banking Law Section and the Continuing Legal Education Committee, this desk book has been updated for publication and mailing to Section members. Other PublicationsThe Section has and will continue to encourage its committees to publish reports and practice materials that may be useful to the Section's members.
